These OasisPay Storefront Legal Terms govern the use of storefronts hosted at shop.oasispayhq.com and any related OasisPay commerce, checkout, order, payment, merchant-support, and fulfilment features. These terms should be published together with OasisPay’s main Terms of Service, Privacy Policy, Acceptable Use Policy, Consumer Protection Policy, and Merchant & Payment Services Agreement. This draft is designed for a Nigerian storefront platform and reflects the general consumer-protection framework under the Federal Competition and Consumer Protection Act 2018, including consumer rights relating to fair dealing, disclosures, cancellations, refunds, safe goods, and complaint resolution. It should be reviewed by Nigerian legal counsel before publication.

1. About OasisPay Storefront OasisPay Storefront allows approved OasisPay merchants to create public online stores through which customers may view products or services, submit orders, select fulfilment options, and make payments. OasisPay provides the technology used to host the storefront, facilitate checkout, process payments, communicate transaction status, and support related commerce functions. Unless expressly stated otherwise, OasisPay: does not manufacture, own, stock, inspect, warehouse, deliver, or fulfil the products displayed by merchants; is not the seller of a merchant’s products or services; does not determine the merchant’s product descriptions, pricing, inventory, delivery promises, warranties, return rules, or fulfilment standards; and is not a party to the underlying sale contract between the merchant and customer, except in relation to OasisPay’s own payment and platform services. The merchant shown on each storefront is the seller and is responsible for the goods or services offered through that storefront.

2. Acceptance of these terms By accessing an OasisPay Storefront, adding an item to a cart, placing an order, or making a payment, you agree to these Storefront Legal Terms and any merchant policies displayed on the relevant storefront. Where you do not agree, you must not place an order or use the storefront. A merchant’s additional policies apply only to the extent that they: are clearly disclosed before purchase; do not conflict with applicable law; do not remove mandatory consumer rights; and do not conflict with these terms or OasisPay’s platform rules.

3. Eligibility You may use an OasisPay Storefront only where: you have legal capacity to enter into a contract; the information you provide is accurate and complete; the purchase is lawful in your jurisdiction; you are authorised to use the selected payment method; and you are not using the storefront for fraud, abuse, prohibited activity, or unlawful resale. Where a product is subject to an age restriction, the merchant may request evidence that the customer satisfies the applicable age requirement.

4. Merchant relationship When you place an order, the sale is between you and the merchant identified on the storefront. The merchant is responsible for: the accuracy of product and service information; the legality and safety of items offered; product quality and suitability; pricing and promotions; inventory and availability; warranties and representations; accepting or rejecting orders; delivery, pickup, digital fulfilment, or service performance; returns, exchanges, cancellations, and refunds; customer support relating to the purchase; and compliance with consumer-protection, tax, product-safety, advertising, and sector-specific laws. OasisPay may assist with communication, transaction investigation, refund processing, or dispute management, but this does not make OasisPay the seller.

5. Product and service information Merchants must provide clear and accurate information about each item, including where relevant: product or service name; description; price; applicable taxes or charges; stock availability; size, colour, quantity, duration, or other variants; delivery or fulfilment method; restrictions or eligibility requirements; return and refund conditions; digital-product limitations; subscription or recurring-payment terms; and material risks or limitations. Images may be illustrative, but merchants must not use images or descriptions that materially misrepresent an item. Customers should review all product information before placing an order.

6. Prices and charges Prices are displayed in the currency shown on the storefront. Before payment, the customer should be shown the applicable: item price; quantity; discount; delivery fee; service charge; tax or statutory charge; payment-related fee, where lawfully passed on; and final amount payable. The final amount displayed immediately before payment will be the amount submitted for payment, subject to correction of obvious pricing errors. A merchant may change prices before an order is accepted. A price change must not be applied retrospectively to a completed payment without the customer’s agreement, except to correct a clear system or display error in accordance with applicable law.

7. Orders Submitting an order does not always mean that the merchant has accepted it. An order may pass through statuses including: payment pending; paid; confirmed; processing; ready for pickup; shipped; delivered; completed; cancelled; refund pending; refunded; or partially refunded. An order is accepted when the merchant confirms it or begins fulfilment, unless the storefront expressly states otherwise. A merchant may reject or cancel an order where: the item is unavailable; the price was displayed in error; payment cannot be verified; the customer supplied incomplete or inaccurate information; delivery cannot be completed to the selected location; the order appears fraudulent or unlawful; the merchant cannot legally fulfil the item; or fulfilment would breach platform rules. Where a paid order is cancelled and the customer is entitled to a refund, the merchant must initiate the refund through the permitted OasisPay process.

8. Payment processing Payments may be processed using payment methods made available through OasisPay. A payment is not considered final merely because the customer sees a browser redirect, screenshot, debit alert, transfer receipt, or merchant-generated message. Payment status must be confirmed through OasisPay’s systems. OasisPay may: validate payment instructions; conduct fraud and security checks; delay confirmation while a payment is investigated; reject unauthorised or suspicious transactions; reverse duplicate or erroneous transactions; request additional information; or restrict a payment method where necessary. Customers must not submit false payment evidence or attempt to obtain goods or services without valid payment.

9. Failed, pending, and duplicate payments A transaction may remain pending where confirmation has not yet been received from a bank, payment provider, or other payment-system participant. Where a customer is debited but the storefront does not immediately confirm payment, the customer should: avoid making repeated payments unless instructed; keep the transaction reference; check the order status; contact the merchant or OasisPay support; and allow reasonable time for payment reconciliation. Where a genuine duplicate payment occurs, the duplicate amount may be reversed or refunded after verification. Processing times may depend on banks, payment providers, card schemes, and other third parties outside OasisPay’s direct control.

10. Delivery Where delivery is offered, the merchant is responsible for: specifying available delivery areas; stating whether a fee applies; providing a reasonable delivery estimate; packaging the item appropriately; selecting and managing delivery providers; communicating material delays; providing tracking information where available; and resolving delivery-related complaints. Delivery dates are estimates unless the merchant expressly guarantees a date. Customers are responsible for providing an accurate address, accessible telephone number, and any necessary delivery instructions. Additional delivery charges must not be imposed after payment unless: the possibility was clearly disclosed before purchase; and the customer expressly agrees before the additional charge is collected.

11. Pickup Where customer pickup is offered: the merchant must provide the pickup location or communicate it securely after payment; the merchant must state when the order will be ready; the customer may be required to present an order reference or proof of identity; the customer must collect within the stated period; and the merchant must explain what happens where the order is not collected. OasisPay is not responsible for the condition, safety, accessibility, or operation of a merchant’s pickup location.

12. Digital products For digital products, the merchant must clearly disclose: what the customer will receive; the file or content format; device or software requirements; delivery method; download limits; expiry period; licence restrictions; whether updates are included; and any restrictions on refunds once access or delivery has occurred, subject to applicable law. Customers must not unlawfully copy, distribute, resell, reproduce, or share protected digital content. OasisPay may disable access to files that are unlawful, malicious, infringing, fraudulent, or prohibited.

13. Services and bookings For services, the merchant must disclose where relevant: service scope; duration; location; availability; customer requirements; rescheduling rules; cancellation rules; no-show rules; and whether any deposit is refundable. The merchant, and not OasisPay, is responsible for delivering the service with reasonable care and skill.

14. Subscriptions and recurring payments Where a storefront offers subscriptions or recurring services, the merchant must clearly disclose before enrolment: billing amount; billing interval; trial period; commencement date; renewal terms; minimum commitment; how to cancel; consequences of cancellation; refund conditions; and any material price-change process. The customer authorises recurring charges only for the amount and schedule disclosed. Material changes to recurring billing should be communicated before the next charge and handled in accordance with applicable law and OasisPay’s billing rules.

15. Cancellations Customers may request cancellation before fulfilment, subject to: the nature of the product or service; whether fulfilment has already begun; whether an item was personalised or made to order; whether digital content has already been delivered or accessed; reasonable, disclosed cancellation charges; and applicable consumer law. The FCCPC states that consumers have rights relating to cancellation of advance bookings and orders, including refunds subject to reasonable cancellation charges, and that restrictions on refunds should be disclosed in writing. Merchant policies must not improperly remove these statutory rights. A merchant must not describe all sales as automatically final where that would conflict with applicable law.

16. Returns and exchanges The merchant’s return policy should state: the return period; eligible and ineligible items; required product condition; whether original packaging is required; who pays return delivery costs; how an exchange is requested; how damaged, defective, or incorrect items are handled; and the merchant’s return contact details. A customer may be asked to provide reasonable evidence, such as photographs or order information. A merchant may not refuse a remedy merely because an item was discounted where the item is defective, unsafe, materially misdescribed, counterfeit, or otherwise subject to mandatory consumer rights.

17. Refunds Refund eligibility is determined by: applicable law; the merchant’s disclosed policy; the circumstances of the purchase; whether the item was delivered or service performed; whether the item was defective, unsafe, incorrect, unavailable, or misrepresented; and the outcome of any transaction investigation. Approved refunds should normally be returned through the original payment method where operationally possible. Refund processing may take additional time after approval because of banking or payment-network processes. OasisPay may: process an authorised merchant refund; place funds on hold; deduct a refund from merchant balances or future settlements; request supporting information; reverse an erroneous refund; or decline a request that is fraudulent or unsupported. A refund is not complete until OasisPay or the relevant payment provider confirms it.

18. Chargebacks and payment disputes A customer may have rights to dispute a transaction through their bank or payment provider. Customers should first attempt to resolve product, fulfilment, delivery, or refund issues directly with the merchant, except where fraud, unauthorised payment, safety, or urgency makes that inappropriate. Merchants must respond promptly to requests for: order confirmation; product description; customer communication; proof of delivery; refund records; service-performance evidence; or other dispute documentation. OasisPay may debit, reserve, hold, or recover funds from the merchant in connection with chargebacks, refunds, reversals, fraud, or disputes. Submitting a chargeback does not permit a customer to retain both the purchased item and the refunded payment where return is reasonably required.

19. Merchant policies Each merchant may publish policies including: refund policy; return policy; delivery policy; pickup policy; cancellation policy; digital-product policy; subscription policy; privacy notice; and store terms. Merchants must ensure that policies are complete, accurate, understandable, and free from unresolved placeholder language. OasisPay may prevent publication or suspend a storefront where policies contain: blank mandatory fields; template placeholders; misleading claims; unlawful exclusions; contradictory terms; missing merchant contact information; or provisions that materially undermine consumer rights. Where a merchant policy conflicts with applicable law, the law prevails.

20. Prohibited products and conduct Merchants must not offer, and customers must not use OasisPay Storefront to purchase or facilitate, prohibited or unlawful items. This includes, without limitation: illegal drugs or controlled substances; counterfeit, stolen, or unlawfully imported goods; firearms, ammunition, explosives, or restricted weapons; harmful chemicals or hazardous materials; fraudulent financial products; unauthorised investment or lending schemes; pornography or unlawful sexual content; human exploitation or trafficking; terrorist or extremist materials; products that infringe intellectual-property rights; unsafe or recalled goods; fake identity documents; malware, spyware, phishing tools, or stolen credentials; unlicensed medicines or restricted healthcare products; gambling products or services where prohibited; goods derived from unlawful wildlife trade; sanctions-evasion activity; and any item prohibited by OasisPay’s Acceptable Use Policy. OasisPay may remove listings, suspend a storefront, hold transactions, report activity, or provide information to lawful authorities where required.

21. Reviews, claims, and merchant content Merchants must not publish: fake reviews; false scarcity claims; invented endorsements; deceptive discounts; misleading before-and-after claims; unsupported health or financial claims; fabricated verification badges; or content that impersonates another person or business. A discount must be based on a genuine comparison price and must not be artificially created to mislead customers. Where OasisPay introduces customer reviews, merchants must not suppress legitimate negative feedback in a misleading manner.

22. Intellectual property Merchants retain responsibility for the content they upload, including product images, logos, descriptions, videos, downloadable files, and brand materials. By using OasisPay Storefront, the merchant grants OasisPay a limited, non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, display, transmit, cache, and technically adapt that content solely to operate, secure, promote, and improve the storefront service. Merchants represent that they have the rights required to use all uploaded content. Customers must not copy or commercially exploit merchant or OasisPay content without permission. “OasisPay,” associated names, logos, interfaces, and platform materials remain protected intellectual property of OasisPay or its licensors.

23. Privacy and personal data OasisPay may collect and process information needed to operate storefronts and payments, including: name; email address; phone number; billing and delivery address; order information; payment references; device and browser data; fraud and security signals; customer-support communications; and transaction history. OasisPay processes personal data in accordance with its Privacy Policy and applicable Nigerian data-protection law. The Nigeria Data Protection Act 2023 establishes Nigeria’s current statutory framework for processing personal data, and the Nigeria Data Protection Commission is the responsible supervisory authority. Depending on the activity: OasisPay may act as an independent data controller for payment, fraud, compliance, security, platform, and legal-obligation purposes; the merchant may act as an independent data controller for order fulfilment, customer support, marketing, and merchant operations; and OasisPay may process certain information on the merchant’s instructions. Merchants must not use customer information for unrelated marketing without a lawful basis and any consent required by law.

24. Marketing communications A customer’s purchase does not automatically authorise unlimited marketing. Merchants may send transactional communications needed for: payment confirmation; order processing; delivery; pickup; refunds; support; service notices; or safety information. Promotional messages should only be sent where the merchant has an appropriate lawful basis and provides a functional way to opt out where required. OasisPay may send service-related messages necessary to operate or secure the transaction.

25. Security Customers and merchants must take reasonable steps to protect their devices, passwords, payment credentials, verification codes, and account access. OasisPay will not ask a customer to disclose a card PIN, banking password, or one-time password through a merchant chat. Suspicious requests should be reported to: [email protected] [email protected] OasisPay may temporarily restrict transactions, accounts, payouts, orders, or storefront access where fraud, compromise, abuse, or security risk is suspected.

26. Complaints For issues involving: product condition; delivery; pickup; fulfilment; merchant promises; warranty; return eligibility; or service quality, the customer should first contact the merchant using the details displayed on the storefront. For issues involving: payment status; duplicate debit; unauthorised transaction; refund-processing status; checkout error; or OasisPay platform operation, the customer may contact OasisPay through the support channel published on oasispayhq.com. A complaint should include: customer name; order reference; transaction reference; merchant name; payment date; amount; description of the problem; and supporting evidence. OasisPay may share relevant complaint information with the merchant, payment provider, bank, regulator, law-enforcement authority, or service provider where necessary and lawful. The FCCPC is Nigeria’s principal consumer-protection authority and provides public channels through which consumers may raise complaints.

27. Storefront availability OasisPay aims to make Storefront available reliably but does not guarantee uninterrupted or error-free access. The service may be affected by: maintenance; internet outages; third-party hosting; banking systems; payment-provider availability; fraud controls; security incidents; merchant configuration; inventory errors; or events outside reasonable control. OasisPay may modify, suspend, or discontinue a feature where reasonably necessary. Where practical, material incidents or planned maintenance may be communicated through the OasisPay status page.

28. Suspension and removal OasisPay may suspend or remove a storefront, product, merchant, transaction, or feature where: these terms are breached; the merchant fails verification; unlawful or prohibited products are offered; complaints indicate material consumer harm; fraud or security risk exists; refund or chargeback obligations are unpaid; the merchant misrepresents its identity or products; required policies are incomplete; a regulator, bank, court, provider, or lawful authority requires action; or continued operation creates material legal, financial, or reputational risk. Suspension does not remove obligations relating to existing orders, customer refunds, chargebacks, disputes, taxes, or investigations.

29. Disclaimers To the fullest extent permitted by law: OasisPay does not guarantee the quality, safety, legality, authenticity, availability, suitability, or merchantability of merchant products; OasisPay does not endorse a product merely because it appears on a storefront; merchant verification does not constitute a guarantee of future conduct or fulfilment; product images and descriptions remain the merchant’s responsibility; delivery estimates are generally merchant estimates; and OasisPay is not responsible for customer dissatisfaction caused solely by the merchant’s goods, services, or fulfilment. Nothing in these terms excludes any right or obligation that cannot lawfully be excluded.

30. Limitation of liability To the extent permitted by law, OasisPay will not be liable for indirect, incidental, punitive, special, or consequential loss arising from: merchant conduct; product quality; delivery failure; loss of profit; loss of business opportunity; loss of data caused by the merchant or customer; customer misuse; third-party systems; or circumstances outside OasisPay’s reasonable control. Where OasisPay is legally responsible, its liability should be limited to the direct and reasonably foreseeable loss caused by the relevant OasisPay service failure, subject to mandatory law. No liability limitation applies where it would unlawfully exclude liability for fraud, wilful misconduct, gross negligence, or mandatory consumer rights.

31. Indemnity by merchants A merchant must indemnify OasisPay against losses, claims, penalties, refunds, chargebacks, costs, and liabilities resulting from: unlawful or unsafe products; misleading listings; intellectual-property infringement; failure to fulfil orders; breach of consumer law; breach of privacy law; tax non-compliance; merchant fraud; merchant policy violations; unauthorised use of customer data; or breach of the Merchant & Payment Services Agreement. This provision applies between OasisPay and the merchant and does not reduce customer rights.

32. Changes to these terms OasisPay may update these terms to reflect: product changes; legal or regulatory requirements; fraud and security developments; payment-provider requirements; consumer-protection improvements; or operational changes. The updated date will be displayed at the top. Material changes may be communicated through the dashboard, website, email, or another reasonable channel. Changes will not retrospectively remove rights that arose before the change.

33. Governing law These terms are governed by the laws of the Federal Republic of Nigeria. The parties should first attempt to resolve disputes through good-faith complaint handling and escalation. Nothing in these terms prevents a consumer from exercising rights before: a competent court; the Federal Competition and Consumer Protection Commission; the Central Bank of Nigeria, where applicable; the Nigeria Data Protection Commission; another competent regulator; or an authorised dispute-resolution body.
